These Terms of Service (“Terms”) govern your access to and use of the website at voxoid.com (the “Site”), operated by Voxoid Inc. (“Voxoid,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. The Site
The Site is an informational website about Voxoid and its products. Browsing the Site does not create an account, subscription, or hosted product relationship with us. These Terms apply to the Site only.
2. Our products
Use of JobLog.legal, Encordia Piano, or any other Voxoid product is governed by that product’s own terms and privacy policy. Those product terms control for the product. These Terms continue to apply to your use of this Site.
3. No professional advice
Content on the Site is for general information only. It is not legal, financial, educational, medical, or other professional advice, and you should not rely on it as such. Voxoid is not a law firm. Use of the Site, or mention of JobLog or any other product, does not create an attorney-client relationship or any other professional relationship.
4. Intellectual property
The Site and its contents, including text, graphics, logos, and layout, are owned by Voxoid or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial informational use. You may not copy, modify, distribute, scrape, reverse engineer, or otherwise exploit the Site except as allowed by these Terms or applicable law.
5. Acceptable use
You agree not to:
- use the Site for any unlawful purpose;
- interfere with or disrupt the Site or the servers or networks used to make it available;
- attempt to gain unauthorized access to any part of the Site or related systems;
- use automated means to access the Site in a way that imposes an unreasonable load, except for ordinary search-engine indexing; or
- misrepresent your identity or affiliation with Voxoid.
6. Third-party links
The Site may link to other websites, including joblog.legal and encordiapiano.com. Those sites are governed by their own terms and privacy policies. We are not responsible for the content, practices, or availability of third-party sites, except to the extent a separate agreement with you says otherwise for a Voxoid product.
7. Privacy
Our collection and use of information on the Site is described in our Privacy Policy, which is incorporated into these Terms.
8. Disclaimer of warranties
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXOID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY OR AVAILABILITY OF THE SITE. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXOID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In that case, our liability is limited to the maximum extent permitted by law.
10. Indemnity
You will defend, indemnify, and hold harmless Voxoid and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms.
11. Changes
We may modify the Site or these Terms at any time. We will update the effective date at the top of this page when we change these Terms. Your continued use of the Site after a change constitutes acceptance of the revised Terms.
12. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and Voxoid agree that the state and federal courts located in San Joaquin County, California, have exclusive jurisdiction over any dispute arising out of or relating to the Site or these Terms, and you consent to personal jurisdiction there.
13. Miscellaneous
These Terms are the entire agreement between you and Voxoid concerning the Site and supersede any prior agreements on that subject. If a provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign them in connection with a reorganization or sale of assets. Sections that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive termination of these Terms.
